Software Licensing Terms

1. Grant of License
Upon payment of applicable license fees, Walletmix Limited grants the purchasing organization a non-exclusive, non-transferable, and revocable (in case of material breach) license to deploy and execute the licensed software package within the designated deployment environments (on-premise servers, private VPC, or contracted container clusters).
2. Intellectual Property & Restrictions
Walletmix Limited retains all right, title, and interest in and to the software, including patents, copyrights, trade secrets, architecture diagrams, and underlying source code:
- Licensees may not reverse-engineer, decompile, or disassemble binary distributions unless explicitly authorized by written Enterprise Source-Code License.
- Sublicensing, leasing, renting, or redistributing the software to external third parties without a commercial partner agreement is strictly prohibited.
- Proprietary copyright headers, trademark notices, and digital verification signatures must remain intact in all runtime distributions.
3. Maintenance & Security Patching
Standard commercial software licenses include 12 months of core maintenance covering critical security patches, vulnerability remediations, and patch-level bug fixes. Major feature version upgrades and custom feature additions are subject to active Annual Maintenance Contracts (AMC) or Software Assurance subscriptions.
4. Enterprise Source Escrow & Custom IP
For bespoke software engineering engagements executed under a Master Services Agreement (MSA), client-specific business logic, customized database schemas, and proprietary business workflows become the property of the client upon final commercial settlement, while reusable core architectural frameworks remain the intellectual property of Walletmix Limited.
